Compact Program Summary
The Government of the Republic of Kosovo (the “Government” or “GoK”) and the Millennium Challenge Corporation (“MCC”), a United States government agency, signed a grant aimed at accelerating the country’s transition towards an energy future that is more sustainable, inclusive, reliable and affordable. The GoK has ratified the compact and has designated a new entity as an autonomous agency to exercise and perform the GoK’s rights and obligations to oversee, manage and implement the Compact Programs. This entity will be referred to as MCA-Kosovo.
The Headhunter Karriera LLC acting as the Recruitment Consultant is now recruiting for the position of the General Counsel/Legal Director of MCA-Kosovo Entity.
Position Summary
Under the direct supervision of the Chief Executive Officer, the General Counsel/Legal Director is a vital member of the senior management team of MCA-Kosovo, serving as the principal legal officer and senior policy advisor on legal matters. He/She also acts as a technical resource to the governing board and management team, as well as the corporate secretary to the Board of the MCA. The position is based in Pristina, Kosovo.
Duties and Responsibilities
- Analyze the legal frameworks and requirements applicable to MCA-Kosovo to determine and create policies and recommendations for avoiding or mitigating legal and regulatory risks or to ensure compliance with relevant statutes throughout all of the MCA’s programmatic and operational activities.
- Identify and advise on situations involving fraud, corruption, and conflicts of interest, ensuring proper documentation, reporting, and resolution with the proper MCA-Kosovo, MCC, and GoK representatives/interlocutors.
- Serve as corporate secretary of the Board, ensuring comprehensive documentation and management of Board meetings, communication of board decisions and actions, and overall oversight of governance practices.
- Advise the CEO, MCA Board, and managers within the MCA on compliance with regulatory and legal requirements and opportunities/challenges emerging in the legal or regulatory environment to ensure the Compact’s compliance and responsiveness.
- Guide the CEO, and programmatic and operational managers across the MCA, on the legal implications of employment, procurement, and financial activities as they design and implement projects.
- Represent or manage the representation of the MCA before courts, regulatory, and administrative bodies, and in arbitration and other proceedings to communicate the MCA’s perspective and defend its interests.
- Establish policies and practices that build an ethical and legally well-informed culture within the MCA, consistent with the anti-corruption, transparency, and accountability standards of the MCC.
Required Knowledge and Skills
- Law Degree and qualified and in good standing to practice law in Kosovo;
- Minimum seven years (7) of relevant experience working at a law firm or as legal counsel.
- Knowledge of international and Kosovan law, including contract, corporate, construction, employment, and procurement laws, especially in transactions or situations involving foreign investors/governments, and experience negotiating international agreements with foreign governments, or experience representing foreign investors in transactions or situations involving the Government;
- Experience working as, or with, a corporate secretary on a governing board and experience with corporate governance, compliance, and record keeping matters;
- Experience administering or providing advice regarding tax exemptions under Kosovan law;
- Fluency in English and Albanian.
Preferred background and work experience:
- Experience working as both in-house counsel and working in a law firm or as legal counsel in Kosovo;
- Experience in international commercial transactions and project and structured financing
- Experience in US Government funded Projects;
- Supervisory or management experience of attorneys and other staff;
- Fluency in another official language of Kosovo (Serbo-Croatian or other).
