The Legal Manager is responsible for overseeing the company’s legal matters, ensuring compliance with applicable laws and regulations, and supporting effective corporate governance practices within a shopping mall and commercial environment.
The role includes managing corporate legal documentation, reviewing and negotiating commercial agreements, supporting leasing and operational matters, coordinating Board and Shareholder meetings, preparing meeting agendas and minutes, maintaining corporate records, and ensuring proper implementation of governance procedures and decisions.
The position requires strong legal knowledge, organizational skills, confidentiality, and the ability to work closely with executive management, tenants, shareholders, Board members, external legal advisors, and regulatory institutions.
Key Duties & Responsibilities
Legal Responsibilities
- Lead and manage the Legal Department, ensuring effective planning, prioritization, coordination, and execution of all legal activities and responsibilities.
- Provide legal advice and guidance to management on corporate, commercial, labor, leasing, regulatory, and operational matters.
- Proactively monitor, anticipate, and assess legislative and regulatory developments, advising management on potential business impacts and recommending appropriate actions to ensure compliance and mitigate risks.
- Support management in legal risk assessment and mitigation.
- Act as a key business partner across the organization, collaborating closely with departments such as Collections, Institutional/Tenant Relations, Operations, Finance, and other business functions to provide practical legal guidance and support business objectives.
- Coordinate and support all legal activities of the company in collaboration with internal stakeholders, external legal counsel, notaries, courts, municipalities, regulatory authorities, and other professional advisors, ensuring the efficient handling of legal matters.
- Draft, review, negotiate, and manage contracts, lease agreements, service agreements, NDAs, policies, and other legal documentation.
- Support leasing and tenant-related legal matters, including the review of lease terms, amendments, notices, and related correspondence.
- Ensure compliance with applicable laws, regulations, licenses, permits, and internal policies relevant to shopping mall operations.
- Monitor legal and regulatory developments and advise management on relevant changes impacting the business.
- Coordinate with external legal counsel, notaries, courts, municipalities, and regulatory authorities when required.
- Assist in dispute resolution, claims, insurance-related matters, and legal proceedings, where applicable.
- Maintain proper legal filing, documentation, and contract management systems.
- Support different departments on legal and compliance-related matters as required.
Corporate Governance Responsibilities
- Organize and coordinate Board of Directors, Shareholders’, and Committee meetings.
- Prepare meeting agendas, supporting documentation, resolutions, and official correspondence.
- Draft accurate minutes of meetings and maintain official corporate records and registers.
- Ensure implementation and follow-up of Board and Shareholder decisions.
- Support compliance with corporate governance frameworks and internal governance policies.
- Maintain confidentiality and integrity of all Board and corporate governance documentation.
- Coordinate communication between management, Board members, shareholders, auditors, and relevant stakeholders.
- Ensure timely submission and filing of corporate documents with relevant authorities and institutions.
Administrative & Reporting Responsibilities
- Prepare periodic legal and governance reports for management and the Board.
- Maintain and update corporate records, licenses, authorizations, and governance documentation.
- Monitor validity and renewal process of permits, licenses, contracts, and official documentation.
- Support internal and external audits related to legal and governance matters.
- Contribute to the development and improvement of internal policies, procedures, and compliance standards.
- Perform other duties related to the position as assigned by management.
Qualifications & Requirements
Education
- Bachelor’s degree in law (mandatory).
- Master’s Degree in Corporate Law, Commercial Law, or related field is considered an advantage.
Experience
- Minimum 5 years of relevant professional experience in legal, corporate, or governance roles.
- Experience in corporate governance and Board administration is highly preferred.
- Experience in drafting legal documents, contracts, lease agreements, and meeting minutes.
- Previous experience in corporate environments, retail, real estate, shopping malls, financial institutions, or large companies is considered an advantage.
Technical Skills
- Strong knowledge of corporate, commercial, labor, and regulatory law.
- Understanding of corporate governance principles and practices.
- Excellent legal drafting and documentation skills.
- Strong organizational and administrative abilities.
- Ability to manage multiple legal matters and deadlines simultaneously.
- Proficiency in Microsoft Office applications (Word, Excel, PowerPoint, Outlook).
Language Skills
- Excellent written and verbal communication skills in English and Albanian.
- Additional languages are considered an advantage.

- Experience in lease administration or commercial property environment is an advantage.
- Professional legal certification or Bar Exam qualification is considered an advantage.
